Business Organizations

Our business organizations practice involves assisting clients in all facets of their businesses from inception to succession and/or disposition, including formation, acquisitions, operations, sales, mergers, conversions and management. We have significant experience representing both acquiring and target companies in all types of business acquisitions. In addition, we assist many businesses with restructuring and reorganization. We prepare all necessary documents for the formation and operation of closely-held businesses (i.e., corporations, partnerships and limited liability companies), counsel owners on their continuing operations, and render advice to directors, managers and officers on laws governing their conduct. We also work extensively with physicians, physician groups and other health care providers in connection with organizational, tax, employment, business and investment matters.

Our business organizations practice involves general contract work in a wide variety of commercial settings, for both closely-held businesses and executives of public companies.
